1. Terms and Conditions
This document (the “QUID Catalog”) defines the Terms and Conditions under which Quividi products and services are provided to its Customers.
1.1. Agreement
By submitting a Compliant Customer Order, you are accepting the Terms and Conditions described in the QUID Catalog.
1.1.1. Compliant Customer Order
A Purchase Order (“PO”) or Duly Signed Quote (“DSQ”), collectively known as an “Customer Order”, needs to contain the following to be accepted and processed by Quividi:
- Quote Number or PO Number
- Customer name and address (billing and shipping if different)
- Date (Creation)
- Valid Product Codes, quantities, subtotals and totals
- VAT ID if part of the European Union
- If it is a Quote, it must be signed
If these requirements are meant, the Customer Order is considered a Compliant Customer Order.
1.1.2. Related Agreement and Terms
By submitting a Customer Order, you are indicating you accept and agree to the Terms and Conditions described in the related agreements:
- End User License Agreement (“EULA”)
- Support Terms of Service (“Support TOS”)
- API Terms of Service (“API TOS”)
The latest versions of these agreements are located at http://www.quividi.com/terms-of-use/.
1.2. License
Quividi Software is licensed according to the EULA.
This document uses the following terms defined in the EULA:
- “Customer” (you),
- “End-customer”,
- “Entitlement” (this document and its contents),
- “Network”,
- “Authorized Users”,
- “Licensed Units”,
- “Managed Device”,
- “Software”
The Terms and Conditions of the license, also known as its Aspects, are defined in this section.
1.2.1. License Term
The License Term is the schedule under which the License is in effect for the licensed Software. The following License Term durations are used by Quividi:
- 1 year
- 3 years
- 5 years
The License Term depends on the Software that is being licensed. See the QUID Catalog sections on those Products and Services for more details.
1.2.1.1. License Start
The License Start Date (“License Start”) is the date the Software and Separately Licensable Features are activated.
1.2.1.2. License End
The License End Date (“License End”), also known as the License Expiry, is the date the Software and Separately Licensable Features are no longer active.
1.2.2. License Unit
The Licensed Unit is the subject of the license. The following Licensed Units are used by Quividi:
- Software Instance: described in this document as “Per Camera” since a Software Instance can only process video from 1 camera at a time. This instance is granted either by adding a license file onto the machine, or remotely from VidiCenter via a “VidiReports Remote Configuration”.
- Login: uniquely identified by email address and paired with a secret password for secure authentication with Quividi (should not be shared for operational security reasons).
- API Token: uniquely identified by a suite of characters, for use by a User to securely connect to VidiCenter (should not be shared for operational security reasons).
- Seat: also known as “Per Individual”, is for a named person, identified by a unique email address, and cannot be shared between multiple people.
The Licensed Unit depends on the Software that is being licensed. See the corresponding QUID Catalog sections for more details.
1.2.3. License Types
The License may have usage restrictions and allowances. The following License Types, also known as License Usages, may be prescribed:
- Commercial License: commercial usage is permitted with a Commercial License. For example, it may be used in retail digital signage, smart vending or digital out-of-home advertising. Unless otherwise specified, a License is Commercial by default.
- Trial License: No commercial usage is permitted with the Trial-Only License. It is meant for API development and quality assurance purposes. As a counter-example, a showroom or network operations center requires a Commercial License.
Licenses are meant for fixed locations. Moving the unit to a new location requires a new License.
1.2.4. License Renewal
On the License End Date, the Software License Renewal is either:
- Automatic: happens without Customer intervention
- Manual: happens only with Customer intervention.
Unless otherwise specified, a Software License Renewal is Manual.
If set to Automatically Renew, the additional License Term is specified.
1.2.5. Software Downloads
The License also specifies for which operating systems the Software Download is available.
1.3. Software Support
Software Support services are provided according to the Support TOS.
1.3.1. Support Levels
1.3.1.1. Standard Support Level
Standard Support includes:
- Access to online tutorials
- Support by email
- Software maintenance
1.3.1.2. Silver Support Level
Silver Support includes:
- Access to online tutorials
- Support by email
- 10 hours of support by chat and phone
- Software maintenance
1.3.2. Support Term
Unless otherwise specified, the Support Term matches the License Term.
1.3.2.1. Support Start
The Support Start Date (“Support Start”) is the date Support becomes active for its corresponding License.
1.3.2.2. Support End
The Support End Date (“Support End”), also known as the Support Expiry, is the date Support is no longer available for the corresponding License.
1.4. Data APIs
Data APIs are provided according to the API Terms of Use
There are two classes of APIs:
- VidiCenter API
- VidiReports API, which has several components:
- Final Events API, which describes the demographic profile, total attention and dwell time and number of glances of the person that has just left the field of view of the camera. This functionality is also available as a local CSV export.
- Real-Time API, which describes the position, demographic profile and attention behavior of each detected person, up to 15 times per second.
- Programmatic APIs, which provides information for programmatic trading (available soon).
Each of the Data APIs is considered a Separately Licensable Feature. See the corresponding QUID Catalog sections for more details.
1.4.1. API Term
Unless otherwise specified, the API Term matches the License Term.
1.4.1.1. API Start
The API Start Date (“API Start”) is the date the API becomes active for its corresponding License.
1.4.1.2. API End
The API End Date (“API End”), also known as the API Expiry, is the date the API is no longer available for the corresponding License.
2. Quividi Interchangeable Denomination (QUID)
To activate Quividi products and services, a Customer must first buy an intermediary unit called a QUID (plural “QUIDs”). A Customer’s QUID unit price goes down the more QUID volume they purchase. This means Quividi products and services cost less the more they are used.
The QUID Catalog describes how QUIDs can be ordered and the variety of ways a Customer can use them to Activate Quividi products and services.
2.1. General Terms
This section describes the basic mechanics of the QUID system and the Terms and Conditions that apply on Customer Orders by default.

2.1.1. QUID TIERS
A QUID Tier is a volume-based tiered price. It has predictable price breaks at predictable volume breaks.
2.1.1.1. Starting Volume
The threshold at which a new QUID Tier begins is its “Starting Volume”.
The QUID Tier is typically identified by its Starting Volume, e.g.” QUID Tier 25”.
2.1.1.2. Unit Price
Each QUID Tier has a corresponding Unit Price, also known as a QUID Price, which is the per-QUID price Customers that qualify for that QUID Tier are entitled to pay.
The QUID Tiers Unit Prices are available separately. Speak to your Quividi Representative for more details.
2.1.1.3. Starting Price
The Starting Price is the minimum cost to access a QUID Tier. It is equal to its Starting Volume multiplied by its Unit Price.
2.1.1.4. Next Volume
A QUID Tier’s Next Volume is the Starting Volume of the next QUID Tier.
2.1.2. QUID Level
A Customer’s QUID Level is the QUID Tier with the highest Starting Volume that is lesser than or equal to the amount of QUID in the Customer Order.
This QUID Tier will also be the one with the lowest Unit Price.
2.1.3. QUID Balance
The QUID Balance is the QUID Order Amount from the QUID Order subtracted by the Activation Amount from the QUID Activation.
2.1.3.1. QUID Expiry
Under General Terms, QUIDs expire and are not usable outside the Customer Order in which they are ordered. It is therefore necessary to use the QUIDs to Activate Products and Services in the same transaction.
2.1.3.2. Negative QUID Balance
If the QUID Order and QUID Activation are done in the same Customer Order, it is possible the Customer will have a Negative QUID Balance until Payment is received.
A Negative QUID Balance triggers the Deactivation Schedule.
2.1.4. Product Codes
Quividi products and services are packaged into offerings and these packages are identified by a “Product Code” which is used to activate them when they are included in the Customer Order.
2.1.4.1. QUID Cost
The QUID Cost is the amount deducted from a Customer’s QUID Balance when its corresponding Product Code is activated.
2.1.4.2. Product Description
A Product Description is the Software, Separately Licensable Features, License and other Terms and Conditions that are associated to a Product Code and which are Activated when that Product Code is Activated.
2.1.5. QUID Order
To Order QUIDs, submit a Compliant Customer Order containing the appropriate QUID Product Code. This is called a QUID Order.
See Appendix A for the Product Code options for Ordering QUIDs and the Terms and Conditions that accompany them.
2.1.5.1. Order Date
The date the Order is received by Quividi is the Order Date.
2.1.5.2. QUID Order Amount
The QUID Order Amount is the volume of QUIDs purchased in the Customer Order.
2.1.5.3. QUID Balance Increase
The Customer’s QUID Balance increases by the QUID Order Amount the moment payment is received for the Customer Invoice.
2.1.6. QUID Activation
For a Customer to Activate Products and Services from QUIDs, a Compliant Customer Order needs the Product Codes that the Customer desires to Activate.
The moment the Customer Order is processed is called a QUID Activation.
2.1.6.1. Activation Date
The date of the QUID Activation is the Activation Date.
2.1.6.2. Activation Amount
The Activation Amount is the QUIDs necessary to activate the Quividi products and services as specified for the Product Codes and in the quantities used in the Customer Order.
2.1.6.3. QUID Balance Decrease
A Customer’s QUID Balance decreases by the Activation Amount on the Activation Date.
2.1.6.4. Activation Anniversary
Every year on the same calendar date as the Activation Date is considered an Activation Anniversary.
2.1.7. Invoice and Payment
Upon processing of a Compliant Customer Order, Quividi sends a Customer Invoice. This document indicates the balance of money owed to Quividi. Payment of that invoice triggers the QUID Balance Increase.
2.1.8. Deactivation
The Deactivation process occurs if the Customer has not paid their invoice within 30 days. All Software Licenses and Separately Licensable Features become disabled after that period.
2.1.8.2. Canceling Deactivation
Payment in full for the corresponding invoices will trigger the removal of the Customer from the Deactivation Schedule.
2.2. Annual Terms
QUIDs purchased under Annual Terms behave like QUIDs purchased under General Terms except for the differences listed in this section.

2.2.1. Schedule Duration
QUIDs in QUID Orders are active for 1 year after Order Date.
2.2.2. QUID Balance
The Customer can keep a QUID Balance of unused QUIDs from QUID Orders for a Schedule Duration (e.g. 1 year for Annual Terms) after its Order Date.
As QUIDs are used to Activate Products and Services, their Activation Cost is subtracted from the Customer’s QUID Balance.
2.2.2.1. FIFO Consumption
At Activation, QUIDs are consumed from QUID Orders in a first-in, first-out (FIFO) basis. This means that Customer Orders consume QUIDs from QUID Orders that will reach QUID Expiry first before others.
2.2.3. QUID Expiry
QUID Expiry is the date that is a Schedule Duration (e.g. 1 year for Annual Terms) after Order Date. On this date:
- Any unused QUIDs from that Order are subtracted from a Customer’s QUID Balance
- The QUID Order stops contributing to the Customer’s QUID Volume
2.2.4. QUID Volume
QUID Orders that occurred within the Schedule Duration (i.e. have not reached QUID Expiry yet) contribute towards a cumulative value called the QUID Volume. QUID Volume is used to determine the Customer’s QUID Level and QUID Price.
When used in the context of a QUID Order, the QUID Volume also includes the QUID Order Amount which may qualify the Customer to a lower-priced QUID Tier.
2.2.5. QUID Level
A Customer’s QUID Level is the QUID Tier with the highest Starting Volume that is lesser than or equal to the Customer’s QUID Volume.
This QUID Tier will also be the one with the lowest Unit Price.
2.3. Extended Terms
QUIDs purchased under Extended Terms behave like QUIDs purchased under Annual Terms except for the differences listed in this section.

2.3.1. Schedule Duration
The Schedule Duration for Extended Terms is either:
- 3 Years
- 5 Years
The QUID Expiry for a QUID Order is an Extended Schedule Duration after the QUID Order Date.
2.3.2. QUID Volume
With Extended Terms, a Customer’s QUID Volume is equal to the sum of the balances of all active (not expired) Customer’s QUID Orders that use Extended Terms.
When used in the context of a QUID Order, the QUID Volume also includes the QUID Order Amount which may qualify the Customer to a lower-priced QUID Tier.
3. AMP Suite Offering
The AMP Suite Offering is Quividi’s flagship product which uses computer vision technology to power cloud-based audience analytics and interactive digital signage experiences. Quividi AMP Suite, also known as the “Platform”, is comprised of 2 Software products:
- VidiCenter: the web management and data analytics portal
- VidiReports: the audience measurement computer vision technology
This section describes the AMP Suite Offering, also known as the “Platform Offering”.
3.1. VidiCenter
VidiCenter Software provides web-based access to a network of VidiReports instances for management and data analytics.
This section describes the ways you can activate VidiCenter Software and Separately Licensable Features in the Platform Offering for a License Term.
3.1.1.VidiCenter User License
VidiCenter is licensed according to the EULA and with additional clarifications listed in this section.
Every account is strictly personal. Each account must be unique and linked to a natural person. Sharing credentials is not permitted
Every account owner has the responsibility to ensure the safe-keeping of each credential entrusted to them. Login Credentials to VidiCenter consist of a User ID and password. We advise you to use the 2 factor authentication and a strong password.

3.1.1.1. VidiCenter Access Levels (Roles)
VidiCenter caters to 3 business-driven user profiles which we call User Roles. Each Role corresponds to an equivalent Access Level in VidiCenter. Any of the User Roles means one of the 3 listed below.

3.1.2. VidiCenter User Roles
VidiCenter offers a modern HTML-based web portal interface for the various Roles which permits the creation, updating and viewing of records permitted with the Role’s corresponding Access Level.
3.1.2.1. Audience Analytics
The Audience Analytics Role, also known as the VidiCenter Viewer Access Level, provides access to the following areas for that Login:
● Dashboard and Charts (Read-Only)
3.1.2.2. Dashboard Designer
The Dashboard Designer Role, also known as the VidiCenter User Access Level, provides access to the same areas as the Audience Analytics Role, with additional access to the following areas:
● Dashboard and Charts (Read-Write)
3.1.2.3. Network Manager
The Network Manager Role, also known as the VidiCenter Manager Access Level, provides access to the same areas as the Dashboard Designer Role, with additional access to the following areas:
- Data Organization
- License Management
- Monitoring Alerts
- Diagnostics
3.1.3. VidiCenter API
The VidiCenter API, formerly known as Cloud API, allows you to access the aggregated data of all your VidiReports instances via a secure and automated REST API.
3.1.3.1. Access
To access the VidiCenter API, you need a VidiCenter API License and a VidiCenter License with Manager Access Level.
3.1.3.2. Dependencies
VidiCenter Hosting is required to be included with the VidiReports Software License to access its data via the VidiCenter API.
3.1.3.3. VidiCenter API License
VidiCenter API is licensed according to the API Terms of Use and with additional clarifications listed in this section.
Pricing is provided upon demand.

3.1.4. VidiCenter Network
The VidiCenter Network is required to host, organize and monitor audience data, for each unique End-Customer.
A VidiCenter License allows for the creation of a VidiCenter Network, or for pointing audience data towards one existing VidiCenter Network, and for the hosting of data uploaded from VidiReports instances.
Each VidiCenter User has access to at least one VidiCenter Network.

3.2. VidiReports
VidiReports Software uses computer vision technology to perform audience measurement and power interactive content.
This section describes the ways you can activate VidiReports Software and Separately Licensable Features in the Platform Offering for a 1-year License Term.

3.2.2. VidiReports Data Options
VidiReports audience data is available via the Real Time API as a Separately Licensable Feature.
3.2.3. VidiReports Algorithms
The Base Software allows for the selection of one of multiple computer vision detection modes. We call these modes Algorithms and they are listed in this section as Separately Licensable Features.
3.2.3.1. Pro Algorithms
The Pro Algorithms come with basic audience metrics:
- Gender: male, female, person
- Age class: child, young, adult, senior
- Dwell time
- Attention time
- Watchers
- OTS (Opportunity-to-see)
The Real-Time API has additional metrics on the Watcher as well:
- Position
- Distance (and approach trigger)
3.2.3.2. Expert Algorithms
The Expert Algorithms come with the same metrics as Pro and an additional exclusive set:
- Absolute age
- Mood (happy … unhappy)
- Glasses (sunglasses)
- Facial hair (moustache and beard)
The Real-Time API has additional metrics on the Watcher as well:
- Smile and frown triggers
- Head gestures
- Color Clothing
3.2.3.3. Gates Algorithms
The Gates Algorithms, also known as “VidiGates Mode”, measures foot traffic using a camera in an overhead configuration. The mode is not available for selection by default and can be activated via a request to Quividi support channels.
3.3. Multi-Year
The AMP Suite is also available with the following multi-year License Terms:
- 3 Years
- 5 Years
QUID Costs for multi-year License Terms are the QUID Cost for 1-Year multiplied by the number of years of the License Term. For example, 1 QUID for 1 year is 3 QUIDs for 3 years and 5 QUIDs for 5 years.
3.3.1. License Term of 3-Years
The following Product Codes are the entire AMP Suite Offering with a 3-year License Term.
